The course will enable participants to gain an insight into the way in which Buyers and Sellers view and negotiate Gas and LNG Sales Agreements, and will give participants a detailed understanding of the terms that are important in these transactions.

The course goes on to examine the inherent risks in a Gas or LNG Project, and how these risks are addressed within the Gas and LNG Sales Agreement. Risk assessment is a complex issue, and this course examines it from a commercial perspective, looking at the project structure and identifying how the commercial terms deal with risk in a satisfactory manner.

Based upon a composite of recent contracts, a case study approach highlights all the issues addressed in such contracts, and examines the various alternative means of handling them. It encourages a participative workshop approach and is highlighted by a detailed examination of 1) the terms of recently concluded gas and LNG Sales contracts; and 2) the Commercial Structure of an entire project showing the balance and interaction between its various elements then 3) a detailed review of the range of price terms in a hypothetical contract negotiation.

About your two Expert Trainers & Practitioners

Prof. Yvonne Barton is a Senior Associate Consultant of The Energy Contract Company. She has worked on a large number of gas and LNG projects worldwide. In her 25 years experience as an executive in the international gas industry, she has led the commercial development of projects in Asia, Europe and Africa and has managed several corporate acquisitions and divestments in oil and gas.

Yvonne is Visiting Professor at one of Italy’s top universities lecturing on energy market regulation and international political economy.

She is an expert in LNG import terminals and LNG sales agreements, having led the commercial development of six regas projects in Europe and has advised the Council of Europe Regulators Group on third party access to LNG terminals. She is also an expert of the Italian gas market and has advised several new entrants on business development.

Recent roles that Yvonne has undertaken include Lead negotiator in the purchase of portfolio LNG supplies for a new LNG regas terminal in Europe. Strategic advisor to a major African national oil company on gas market entry and gas sales strategy. Advisor on access to international gas pipelines in Southern Europe. Advisor on gas pricing for market entry strategy. Advisor to an LNG import project in Italy on structuring and negotiating the Regas Code for the terminal operations and regulatory compliance. Advisor on gas storage project development and commercial management. Commercial advisor for joint venture arrangements in a new European LNG regas terminal development and marketing of gas. Commercial Advisor to a new floating LNG regas project, with particular responsibility for securing international LNG investors.

Yvonne started her career as a geotechnical engineer with BP. She held the positions of Head of UK Gas Sales; Head of Mergers & Acquisitions and Head of International Commercial with BG Group. As Chairman of British Gas Asia Pacific based in Singapore she developed new gas projects across the Region. As President of BG in Italy, she broke new ground by bringing LNG imports from Egypt.

She holds a Doctorate and Masters in Geotechnical Engineering from Trinity College Cambridge and a Bachelors degree in Civil Engineering from the University of Birmingham. Yvonne is a Fellow of the Royal Academy of Engineering and was honoured with the MBE for services to engineering.

Nick Stranks is a Director and Managing Partner of The Energy Contract Company. In this role, he has worked extensively as advisor and expert to several NOCs, major oil and gas companies on a large number of oil, gas and energy development projects, worldwide. He has led the negotiation of all the commercial agreements required for project development on several integrated gas & LNG projects for major European and African oil and gas companies.

In his 25 years experience in the industry, he has led the negotiation of major oil and gas projects in Europe, North Africa and Asia, and has been active throughout the oil / gas and LNG value chain.

Recently he has advised on several international oil and gas projects under development, including LNG import to Cyprus (Project & Commercial Director), international gas pipeline imports in the Middle East, LNG import to the UK for a major North African LNG producer; acted as commercial director on a $2 billion oil & wet gas development in North Africa; advised on the commercial development of four new LNG terminals (onshore and FSRU) in Europe and the Middle East. His work has also included: advising on the negotiation of several upstream PSAs; gas pipeline sales, transportation and third party access, providing commercial advice on two gas liquids export projects from North Africa and the Middle East, and detailed negotiation of the main contractual agreements leading to project success.

With a Masters in Business Administration from Strathclyde Graduate Business School and a BSc in Geology from the University of Liverpool, he has extensive global experience in the commercial and technical aspects in the upstream energy sector.

Prior to joining The Energy Contract Company, Nick spent 9 years with BHP Billiton Petroleum and held the position of Gas Commercialisation Manager for Europe, North Africa and Middle East region. He was responsible for all gas/gas liquids commercialisation and market development in the region. In this role, he successfully negotiated the LPG / gas liquid sales and purchase contract underpinning BHP’s US$ 1 billion investment in Algeria. Previously, he was a Commercial Manager with Total, responsible for managing the companies operated and non-operated oil, gas and transportation interests in the Northern North Sea.
